End User License Agreement

The license that applies to MiRa Ventures apps, including Keep the Sauce, on the Apple App Store and Google Play.

The short version

  • We license the app to you. We don’t sell it to you. You can use it on your own devices for personal, non-commercial use.
  • No copying, reselling, reverse engineering or getting around paywalls.
  • This agreement is between you and MiRa Ventures, not Apple or Google. We’re responsible for the app.
  • The app is provided “as is.” Our liability is limited as described in our Terms of Use.
  • Disputes follow the arbitration terms in our Terms of Use, including the 30-day opt-out.

This End User License Agreement (“EULA”) is a binding agreement between you and MiRa Ventures, Inc., a Washington State S-Corporation (“Licensor,” “we,” “us”) that governs your use of our mobile applications, including Keep the Sauce, and any updates and related documentation (the “App”). Our Terms of Use (including its disclaimers, limitation of liability, indemnification, binding arbitration and class-action waiver) and Privacy Policy are incorporated into this EULA. If this EULA conflicts with the Terms of Use about the App, this EULA controls. By downloading, installing or using the App, you agree to this EULA.

1. License grant

Subject to this EULA, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install and use the App for your personal, non-commercial purposes on Apple- or Android-branded devices you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions or the Google Play Terms of Service, as applicable. This includes use by other accounts associated with you through Apple Family Sharing or similar programs, where we have enabled it.

2. Restrictions

You may not, and may not allow anyone else to: (a) copy, modify, translate or create derivative works of the App; (b) distribute, rent, lease, lend, sell, sublicense or otherwise transfer the App; (c) reverse engineer, decompile, disassemble or try to derive the source code of the App, except to the extent applicable law expressly permits this despite this limitation; (d) remove or alter any proprietary notices; (e) circumvent any technical, licensing, paywall or security measure; or (f) use the App in violation of law or of our Terms of Use.

3. Subscriptions and in-app purchases

Some features require a paid purchase or an auto-renewing subscription bought through the Apple App Store or Google Play, as described in our Terms of Use. Pricing, trial length and renewal terms are shown before you buy. Manage or cancel subscriptions in your store account settings.

4. Ownership

The App is licensed, not sold. We and our licensors keep all right, title and interest in the App, including all intellectual property rights. All rights not expressly granted are reserved.

5. Updates and changes

We may provide updates, which may be required to keep using the App, and we may change or discontinue features as described in our Terms of Use.

6. Term and termination

This EULA applies until terminated by you or us. It ends automatically, without notice, if you fail to comply with it. We may also terminate it as allowed by our Terms of Use. On termination, you must stop using and delete the App. Sections 2, 4 and 7 through 12 survive.

7. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND LICENSOR DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT AND NON-INFRINGEMENT. No oral or written information or advice from us creates any warranty.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA OR CONTENT, ARISING OUT OF OR RELATING TO THE APP, AND LICENSOR’S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE APP AND RELATED SUBSCRIPTIONS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR FIFTY U.S. DOLLARS (US$50). Some jurisdictions do not allow these limitations, so they may not fully apply to you.

9. Indemnification

You agree to indemnify Licensor as described in our Terms of Use.

10. Export and legal compliance

You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties. You will comply with all applicable export laws.

11. U.S. Government end users

The App is “commercial computer software” and “commercial computer software documentation,” and U.S. Government end users receive only the rights granted to all other end users under this EULA.

12. Governing law, disputes and general terms

This EULA is governed by the laws of the State of Washington, and disputes are resolved under the binding individual arbitration, class-action and jury waiver, 30-day opt-out, small-claims carve-out, Chelan County venue and one-year limitation provisions of our Terms of Use. The severability, entire agreement, no waiver, assignment and force majeure provisions of the Terms of Use also apply.

13. Additional terms for apps obtained from the Apple App Store

If you obtained the App from the Apple App Store, the following terms also apply and control over anything inconsistent in this EULA:

  1. Acknowledgement. This EULA is concluded between you and Licensor only, and not with Apple Inc. (“Apple”). Licensor, not Apple, is solely responsible for the App and its content.
  2. Scope of license. The license granted to you is limited to a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
  3. Maintenance and support. Licensor is solely responsible for providing any maintenance and support services for the App, as specified in this EULA or as required by law. Apple has no obligation whatsoever to furnish any maintenance and support services for the App.
  4. Warranty. Licensor is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Licensor’s sole responsibility, to the extent not disclaimed.
  5. Product claims. Licensor, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of it, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation, including in connection with the App’s use of the HealthKit and HomeKit frameworks, if applicable. This EULA does not limit Licensor’s liability to you beyond what is permitted by applicable law.
  6. Intellectual property rights. In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, Licensor, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such claim.
  7. Legal compliance. You represent and warrant the export and sanctions matters in Section 10 above.

  9. Third-party terms. You must comply with applicable third-party terms of agreement when using the App (for example, your wireless data service agreement).
  10. Third-party beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.

14. Additional terms for apps obtained from Google Play

If you obtained the App from Google Play: this EULA is between you and Licensor only, not Google LLC (“Google”); your use of the App is also subject to the Google Play Terms of Service and Google Play’s policies, which control if they conflict with this EULA regarding your use of Google Play; Google is not responsible for the App, its content, maintenance, support or any warranty; and purchases, refunds and subscription management are handled under Google Play’s policies.
